1. Acceptance of Terms

By accessing, browsing, or using the website of Victory Step, LLC d/b/a Victory Prep Tutors (“Company,” “we,” “us,” or “our”), including but not limited to www.victorypreptutors.com (“Site”), you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions (“Agreement” or “Terms”), as well as our Privacy Policy. If you do not agree to these Terms in their entirety, you are expressly prohibited from using this Site and must discontinue use immediately.

We reserve the right to modify, revise, or update these Terms at any time at our sole discretion. All modifications are effective immediately upon posting and apply to all access to and use of the Site thereafter. Your continued use of the Site constitutes your acceptance of any such modifications. It is your responsibility to review these Terms regularly.

2. Registration, Payments, and User Accounts

(a) Eligibility. By registering for any course, program, or service, you represent and warrant that you are at least 18 years of age, or, if under 18, that you have the consent of a parent or legal guardian who agrees to be bound by these Terms.

(b) Account Information. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

(c) Payment Terms. All courses and packages must be paid in full prior to the commencement of the first session. Accepted payment methods include credit card, check, and other methods as specified on the Site. Failure to pay in accordance with these Terms may result in suspension or termination of services.

(d) Non-Transferability. Registrations, packages, and credits are non-transferable and may not be assigned or shared with any other individual or entity.

3. Cancellations, Refunds, and Credits

(a) General Policy. Refunds are only issued under limited circumstances and at our sole discretion, as detailed below. All requests for cancellations or refunds must be submitted in writing.

3.1 Classroom Programs (Group Courses)

• Upon registration, $150 of your course fee is designated as a non-refundable administrative fee.
• If you cancel before the scheduled start date, you will receive a refund of your course fee minus the $150 administrative fee.
• After the scheduled start date, no refunds will be issued. If you cancel or do not attend, a non-transferable credit will be placed on file for you to take a course within 6 months of your original course start date.
• Once you have attended your first class, no refunds or credits will be issued for any reason.
• The classroom program may not be split, transferred, or shared with any other student.

3.2 One-on-One Private Tutoring

• If you cancel before the scheduled start date, you are entitled to a full refund.
• After the first session, you may request another tutor at no additional charge, or request a full refund (minus the $150 administrative fee) before the second session (available only for 18, 36, 50, and 80 hour packages).
• No full refunds are available after the second session.
• Refunds for unused hours may be requested within 60 days of first lesson. After 60 days, no refunds will be issued. If you cancel within the first sixty (60) days of purchase or within three (3) sessions (six hours), whichever comes first, a prorated refund will be provided for unused hours, less a 3% credit card processing fee, $100 for curriculum/books/web-based training aids provided, and a $150 administrative fee.
• Refunds are processed within 15-20 business days.
• All materials provided must be returned in new condition for a refund; otherwise, the cost of materials will be deducted.
• Cancellations of private tutoring sessions with less than 24 hours’ notice will be charged in full.

4. Course Information, Scheduling, and Instructors

(a) Course Details. Course times, locations, and instructors are subject to change at any time at our sole discretion. We will provide notice of any changes to the email address provided during registration. It is your responsibility to ensure you are aware of all course details and updates.

(b) Responsibility. Victory Prep Tutors is not responsible for any student who is unaware of the time or location of their class due to failure to review communications or updates.

5. Score Improvement Guarantee

5.1 SAT/PSAT/ACT Classroom Guarantee

• You must be enrolled in a regular classroom program.
• Your post-program SAT score (administered by College Board) will be compared to your initial diagnostic SAT test.
• You must attend every class in full and complete all homework and assignments.
• If your SAT score does not improve despite fulfilling all requirements, you may repeat the classroom package at a future date subject to seat availability.
• If no classroom program is available within 2 months, you may enroll for 4 hours of private tutoring at our office (no further guarantee applies).
• No cash refunds will be provided under this guarantee.

5.2 Private Tutoring Guarantee

• Applies to regular private tutoring packages (10, 18, 36, or 50 hours).
• Your post-program SAT/ACT score will be compared to your initial diagnostic test.
• You must attend every session in full and complete all assignments on time.
• If your score does not improve, you may enroll for 4 additional hours of private tutoring at our office (subject to instructor availability; no further guarantee applies).
• No cash refunds will be provided under this guarantee.

6. Referral Program

If you refer a friend who registers and pays for a course or tutoring package, you will receive a $50 credit. This credit is non-transferable, has no cash value, and must be used within 6 months for future courses or tutoring packages. The credit is applied only after your referral completes registration and payment.

7. Privacy Policy and SMS Terms of Service

We are committed to protecting your privacy and handling your personal information responsibly. Please refer to our dedicated Privacy Policy for full details regarding the collection, use, sharing, and protection of your personal information. By using our Site or providing personal information (including your phone number for SMS communications), you consent to the collection and use of your information as outlined in our Privacy Policy and these Terms.

7.1 Information We Collect

• Personal identifiers such as name, email address, mailing address, phone number, and student information you voluntarily provide during registration, inquiry, or order placement.
• Billing and payment information necessary to process your purchases, such as limited payment card details handled via our payment processors.
• Usage data related to your interactions with our Site, including IP address, browser type, pages visited, and similar technical information collected via cookies and similar technologies.
• SMS-related information if you opt in to receive text messages from us, including your mobile phone number and records of SMS communications.

7.2 How We Use Information

• To provide, operate, and improve our courses, tutoring services, and Site functionality, including scheduling, reminders, and service-related communications.
• To process registrations, payments, orders, and to respond to your inquiries and requests.
• To send you transactional and service-related messages, including email and, where you have provided consent, SMS text messages regarding appointment reminders, class or session updates, account notifications, billing notices, and limited promotional content related to our services.
• To analyze Site usage, monitor performance, maintain security, and comply with legal obligations.

7.3 Sharing of Information

• We may share personal information with trusted third-party service providers who perform services on our behalf, such as payment processing, web hosting, email and SMS delivery, analytics, and customer support, and these providers are not permitted to use your information for any purpose other than providing services to us.
• We may share information when required by law, legal process, or governmental request, or to protect our rights, property, users, or the public.
• We may share aggregated or de-identified information that does not identify you personally for analytics, research, or marketing purposes.

7.4 SMS Terms of Service

Program Description and Message Types. By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from Victory Prep Tutors related to:

• Appointment reminders and schedule updates for classes, practice tests, and tutoring sessions.
• Order, billing, and account notifications (such as payment confirmations, receipts, and account status alerts).
• Service-related announcements regarding course changes, policy updates, or important program information.
• Limited promotional messages about new courses, discounts, and events directly related to Victory Prep Tutors services.

Message frequency may vary depending on your interactions with us, such as the number of scheduled sessions, programs, or requests for information. Message and data rates may apply and are determined by your mobile carrier and plan.

To opt out of SMS at any time, text STOP in reply to any message you receive from us. You may also withdraw your consent by contacting us using the information in the Contact section of these Terms.

9. Intellectual Property

All content, materials, trademarks, logos, and intellectual property on this Site are the exclusive property of Victory Step, LLC or its licensors. No content may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without our express, prior written consent. Unauthorized use may result in civil and/or criminal liability.

10. Limitation of Liability and Disclaimer

To the fullest extent permitted by law, Victory Step, LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. 12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree that any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas.

13. Severability and Waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

14. Termination

We reserve the right to terminate or suspend your access to the Site and our services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Entire Agreement

These Terms and Conditions, together with any policies or operating rules posted by us on this Site or in respect to the services (including our Privacy Policy), constitute the entire agreement and understanding between you and Victory Step, LLC.
